San Rafael, California, January 7, 2000 —Autodesk, Inc. (Nasdaq: ADSK) announced today that its Board of Directors has declared a quarterly cash dividend of $0.06 per share on its Common Stock including holders of Exchangeable Shares of Discreet Logic, Inc. The dividend is payable January 21, 2000, to shareholders of record at the close of business on January 7, 2000.

As of October 31, 1999, the Company had $549.9 million in cash, cash equivalents, and marketable securities and approximately 61.5 million shares of Common Stock outstanding including approximately 1 million shares of Exchangeable Shares outstanding. Autodesk reported a net income of $1.4 million, or earnings per share of $0.02, on net revenues of $202.1 million for the third fiscal quarter ended October 31, 1999.
